Terms of Service

Blackline Studios provides digital services exclusively to tattoo studios and tattoo-adjacent businesses. Our service offerings include, but are not limited to: custom website design and development, AI-powered intake and booking systems, content production (photography, videography, and digital content creation), social media content systems, paid advertising setup and management support, and marketing automation systems.

The specific services delivered to each client are defined in the individual Master Service Agreement executed between Blackline Studios and the client. Blackline Studios reserves the right to update, modify, or expand its service offerings at any time.

Blackline Studios operates on a two-part pricing structure: a one-time setup fee due prior to the commencement of work, and a recurring monthly subscription or retainer fee as defined in the client's Master Service Agreement.

All setup fees and subscription payments are non-refundable once work has commenced. This policy exists because each client engagement involves the allocation of dedicated resources that cannot be recovered or reassigned, including: content production kits (equipment, lighting, and accessories) physically shipped or assigned to the client's studio location, and dedicated labor hours reserved specifically for the client's project from the date of agreement.

Monthly subscription fees are billed on a recurring basis as specified in the Master Service Agreement. Invoices are due upon receipt unless otherwise agreed in writing. Blackline Studios reserves the right to suspend services for accounts with outstanding invoices past thirty (30) days.

Blackline Studios provides strategic guidance and management support for paid advertising campaigns on platforms including, but not limited to, Meta (Facebook and Instagram), Google, and TikTok. However, Blackline Studios does not take custody of, manage, or process any advertising budget funds on behalf of clients.

Clients are solely responsible for funding all paid advertising budgets directly through their own advertising accounts with the respective platforms. Clients must maintain valid payment methods on their own platform accounts. Blackline Studios is not liable for any charges, billing disputes, account suspensions, policy violations, or other issues arising from or related to clients' platform accounts or advertising spend.

The monthly subscription runs for an initial term of six (6) months from the date service begins. After the initial term it continues month to month until cancelled.

Either party may cancel by giving thirty (30) days' written notice. Notice given during the initial term takes effect at the end of that term; notice given afterwards takes effect thirty days from the date it is received. Written notice must be delivered via email to the designated contact for Blackline Studios as specified in the Master Service Agreement.

The client continues to receive services, and remains responsible for the monthly fee, through the end of the notice period — which during the initial term means through the end of that term. All fees paid prior to and during the notice period are non-refundable. Blackline Studios reserves the right to terminate services immediately in cases of material breach of these terms or the Master Service Agreement, non-payment, or conduct that Blackline Studios reasonably determines to be harmful to its business or reputation.

Blackline Studios retains full ownership of all underlying intellectual property used to deliver its services, including but not limited to: website frameworks, code libraries, software systems, automation workflows, booking system architecture, AI intake systems, proprietary templates, and standard operating procedures.

Upon full payment of all outstanding amounts, clients retain ownership of their brand assets, studio identity materials, and original content that features their studio, artists, and client work (subject to any third-party release requirements for any individuals depicted). Clients do not acquire ownership of, or a license to, Blackline Studios's underlying systems, software, or templates upon cancellation or termination of services.

To the maximum extent permitted by applicable law, Blackline Studios's total cumulative liability to any client for any claim arising out of or related to these terms or the services provided shall not exceed the total fees paid by the client to Blackline Studios during the three (3) months immediately preceding the claim.

In no event shall Blackline Studios be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of business, loss of data, or reputational harm, even if Blackline Studios has been advised of the possibility of such damages.

The client agrees to indemnify, defend, and hold harmless Blackline Studios, its officers, employees, and contractors from and against any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of the client's breach of these terms, the client's use of the services, or any content the client provides to Blackline Studios.

These Terms of Service and any dispute arising out of or related to the services provided by Blackline Studios shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. The parties consent to the exclusive jurisdiction of the state and federal courts located in the State of Washington for the resolution of any disputes.
